5 ARTICLE 5 – INTELLECTUAL PROPERTY RIGHTS 5.1 Context Indicate the context of the parties (existing know-how and information, protected or not) in writing. Define the reasons that need to be exchanged for the proper implementation of the Eurostars project or for the proper use of its results. Please list this context in a positive and/or negative list which is usually annexed to the consortium agreement. The list should be sufficiently clear to avoid legal uncertainty and may mention any restrictions related to the granting of background access rights. Set up a procedure for modifying the substantive list: how can partners provide more/less background during the project? Example of a clause to be included if the parties opt for a positive list: the parties define in Annex the context that may be subject to the access rights of other parties. For the avoidance of doubt, any context which is not set out in Annex is therefore excluded from access rights. The owner of the background may at any time expand the existing list by adding other contexts to Appendix . However, any restriction on Annex , after the signature of this Agreement, shall require the adoption of .
